  1. Not an employee of the Company or any of its affiliates.
  2. Not a director or supervisor of affiliated companies (except for independent directors appointed in accordance with the Company Act or the alws and regulations of the local country);
  3. Not a natural-person shareholder who holds shares, together with those held by the person’s spouse, minor children, or held by the person under others’ names, in an aggregate amount of one percent or more of the total number of issued shares of the Company or rank as one of its top ten shareholders;
  4. No a spouse, relative within the second degree of kinship, or lineal relative within the third degree of kinship, of any of the officer in the preceding (1) subparagraph, or any of the above persons in the preceding subparagraphs (2) and (3);
  5. Not a director, supervisor, or employee of a corporate/institutional shareholder that directly holds five percent or more of the total number of issued shares of the company, ranks as its top five shareholders, or has representative director(s) serving on the company’s board based on Article 27 of the Company Act;
  6. Not a director, supervisor, or employee of a company of which the majority of board seats or voting shares is controlled by a company that also controls the same of the company (except for independent directors appointed in accordance with the Company Act or the laws and regulations of the local country);
  7. Not a director, supervisor, or employee of a company of which the Chairperson or CEO (or equivalent) themselves or their spouse also serve as thecompany’s Chairperson or CEO (or equivalent) (except for independent directors appointed in accordance with the Company Act or the laws and regulations of the local country);
  8. Not a director, supervisor, officer, or shareholder holding five percent or more of the share, of a specified company or institution that has a financial or business relationship with the Company. (Not applicable in cases where the specified company or institution holding more than 20% but less than 50% of the share, and the person is an independent director of the parent company, any subsidiary, or subsidiary of the same parent company, as appointed in accordance with the Act or with the laws of the country of the parent or subsidiary);
  9. Not a professional individual who, or an owner, partner, director, supervisor, or officer of a sole proprietorship, partnership, company, or institution that, provides auditing, commercial, legal, financial, accounting services or consultation to the Company that received remuneration more than NT$50,000 or to any affiliate of the Company, or a spouse thereof. (Not applicable in cases where the person is member of Compensation Committee or, Public Tender Offer Committee, or Business Mergers and Acquisitions, that exercise related regulations according to Securities and Exchange Act or M&A Act);
  10. Not a spouse or a relative within the second degree of kinship with the other directors;
  11. Not been a person of any conditions defined in Article 30 of the Company Act;
  12. Not elected as a representative of the government or an institutional investor as a result of Article 27 of the Company Act.
