TCC Group Holdings Co., Ltd. (TCC) to Seek Overseas Listing of its Turkish, Portuguese and African Cement and Concrete Businesses

On August 12, 2026, TCC Group Holdings Co., Ltd. (TCC) announced that its Board of Directors has approved a resolution to seek an overseas listing of its Turkish, Portuguese and African Cement and Concrete businesses under its newly established subsidiary, Cimpor International Holdings (hereinafter referred to as "Cimpor International"). Such proposal (the “Proposal”) will be submitted to TCC’s shareholders' meeting for approval in due course.
Potential listing venues for the Proposal currently under consideration include the London Stock Exchange (LSE) and Euronext. TCC noted that NHOA Energy, responsible for global energy storage development, and Atlante, which develops integrated EV charging and storage businesses in Europe, are excluded from this perimeters of the Proposal and will be evaluated separately at a later stage.
TCC believes that a successful overseas listing would allow Cimpor International to optimize its capital structure, establish diversified fundraising channels, enhance visibility in the international capital markets, and attract top-tier global talent. By establishing clear business positioning and demonstrating independent financing capabilities, TCC hopes to facilitate the long-term growth of its cement and concrete businesses across Europe, Asia, Africa, and adjacent markets. This strategic initiative will further bolster the Group's overall revenue and profitability, with a view to create long-term value for shareholders.
Subject to the minimum public float requirements of the prospective listing venues, Cimpor International’s public float will not be less than 10% of its total share capital. Accordingly, TCC will remain the controlling shareholder of Cimpor International, which will continue to be consolidated into TCC’s financial statements. As such, TCC’s existing operations and listing status on the Taiwan Stock Exchange (TWSE) will remain unaffected. OYAK Çimento Fabrikaları A.Ş.'s existing operations and listing status on Borsa İstanbul A.Ş. will also remain unaffected.
To safeguard the rights of TCC’s shareholders, in due course, TCC will engage an independent expert to opine on the fairness of the Proposal having regard to the number of shares offered, the reasonableness of offer terms, and the impact on TCC shareholders' equity and such opinion, together with the offer terms, will be submitted to the Audit Committee and the Board of Directors for final review and approval, in strict compliance with corporate governance procedures, prior to completion of the overseas listing.
The overseas listing plan remains at preparatory stage. TCC will update the public as appropriate in accordance with relevant regulations.
